1. Acceptance of Terms

By downloading, installing, or using WaADesk ("the Software"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Software.

2. Description of Service

WaADesk is a desktop application that provides an enhanced workspace for WhatsApp Web, including AI-powered reply suggestions, message translation, voice transcription, and multi-account management.

3. User Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You agree to use the Software in compliance with all applicable laws and regulations
  • You agree not to use the Software for spam, harassment, or any illegal activity

4. WhatsApp Terms of Service

WaADesk operates on top of WhatsApp Web. You must comply with WhatsApp's Terms of Service. WaADesk is not affiliated with, endorsed by, or sponsored by WhatsApp Inc. or Meta Platforms, Inc. Use of third-party tools with WhatsApp may carry risks, and you assume those risks.

5. Intellectual Property

The Software, including all code, design, branding, and documentation, is the intellectual property of WaADesk. You may not copy, modify, distribute, sell, or lease any part of the Software without explicit written permission.

6. Subscription and Payments

  • Paid plans are billed monthly via Stripe
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • Refunds are handled on a case-by-case basis
  • Credit packs are non-refundable once consumed

7. Third-Party APIs

WaADesk integrates with third-party APIs (DeepSeek, Google Cloud, Doubao/Volcengine) for AI, translation, and voice features. You are responsible for obtaining and managing your own API keys for these services. We are not responsible for any charges, downtime, or issues arising from third-party API usage.

8. Limitation of Liability

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. IN NO EVENT SHALL WAADESK BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM THE USE OF THE SOFTWARE. THIS INCLUDES, BUT IS NOT LIMITED TO, LOSS OF DATA, BUSINESS INTERRUPTION, OR ACCOUNT SUSPENSION BY WHATSAPP.

9. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms, without prior notice or liability.

10. Changes to Terms

We may modify these terms at any time. Continued use of the Software after changes constitutes acceptance of the new terms.

11. Governing Law

These terms shall be governed by the laws of the jurisdiction in which WaADesk operates. Any disputes shall be resolved through binding arbitration.

  • 付费方案通过 Stripe 按月计费
  • 您可随时取消订阅；取消在当前计费周期结束时生效
  • 退款按个案处理
  • 积分加油包一经消费不予退款

7. 第三方 API

WaADesk 集成了第三方 API（DeepSeek、Google Cloud、豆包/火山引擎）用于 AI、翻译和语音功能。您负责获取和管理自己的 API 密钥。我们对因使用第三方 API 产生的任何费用、停机或问题概不负责。

8. 责任限制

本软件按"现状"提供，不作任何明示或暗示的保证。在任何情况下，WAADESK 均不对因使用本软件而产生的任何索赔、损害或其他责任承担责任。这包括但不限于数据丢失、业务中断或 WhatsApp 账号封禁。

9. 终止

我们保留在违反本条款的情况下随时暂停或终止您的账号的权利，无需事先通知或承担责任。

10. 条款变更

我们可能随时修改这些条款。在变更后继续使用本软件即表示您接受新条款。

11. 适用法律

本条款受 WaADesk 运营所在司法管辖区的法律管辖。任何争议应通过具有约束力的仲裁解决。
